These Terms of Service (“Terms”) govern access to and use of the Daxly website at daxly.app and the Daxly software platform (together, the “Service”). The Service is operated by Cybercey Ltd (“we”, “us”, “our”), company number 11846015, registered at 82a James Carter Road, Mildenhall, Bury St. Edmunds, England IP28 7DE.
1. Acceptance
By accessing this website, joining the waitlist, creating an account, or using Daxly, you agree to these Terms and our Privacy Policy. If you use Daxly on behalf of an organisation (for example a church or charity), you confirm you have authority to bind that organisation, and “you” includes that organisation.
2. The Service
Daxly provides modular church management software and related marketing information. Features, pricing, and availability may change as we develop the product. Early access, waitlists, and beta features may be limited, invite-only, or subject to additional conditions we communicate to you.
3. Accounts and organisations
- You must provide accurate information and keep credentials secure.
- Organisation administrators are responsible for users they invite and for content and data their organisation stores in Daxly.
- You must not misuse the Service (including attempting unauthorised access, disrupting others, or using the Service unlawfully).
4. Subscriptions and fees
Paid plans, if offered to you, are charged as described on our pricing materials or in a separate order or agreement. Fees are typically in GBP and may exclude VAT where applicable. We may change prices with notice for renewals. Unless otherwise stated, fees are non-refundable except where required by law.
5. Customer data and privacy
For member, guest, and website data your organisation uploads or collects through Daxly, your organisation is generally the controller and we act as processor. Our role and practices are described in the Privacy Policy. You must have a lawful basis to process personal data you put into the Service and must not upload unlawful content.
6. Third-party services
The Service may integrate with third parties you choose to connect (for example email, cloud storage such as Google Drive or Microsoft OneDrive, or media APIs). Those services are governed by their own terms and privacy policies. We are not responsible for third-party outages, policy changes, or data handling outside Daxly.
7. Intellectual property
We and our licensors own Daxly software, branding, and site content. You retain ownership of your organisation’s content. You grant us a licence to host and process that content solely to provide and improve the Service.
8. Acceptable use
You must not use the Service to send spam, infringe others’ rights, store illegal material, or circumvent security or billing. We may suspend or terminate access for breach or risk to the Service or other users.
9. Availability and disclaimers
We aim for reliable availability but do not guarantee uninterrupted or error-free operation. The Service is provided “as is” to the fullest extent permitted by law. We do not exclude liability that cannot be excluded under English law (including for death or personal injury caused by negligence, or fraud).
10. Limitation of liability
Subject to section 9, our total liability arising out of or in connection with the Service in any 12-month period is limited to the fees you paid us for the Service in that period (or £100 if none). We are not liable for indirect or consequential loss, lost profits, or loss of data, except where required by law.
11. Termination
You may stop using the Service at any time. We may suspend or end access for breach, non-payment, or if we discontinue the Service (with reasonable notice where practicable). Provisions that by nature should survive (including IP, liability limits, and confidentiality) continue after termination.
12. Changes
We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after changes take effect constitutes acceptance, except where we are required to obtain further consent.
13. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections that may apply.
